Terms of use

Last updated: 26 October 2026

These terms govern your use of the DukaanMatic website, business account, ERP software and connected services, together with our Privacy Policy and the terms shown for your purchases.

Authority and account responsibilities
You must be authorised to act for the business, provide accurate account details and permit access only to authorised users. Keep credentials secure, review employee permissions and promptly report suspected misuse. Your business is responsible for instructions and activity performed by its authorised users.

Business records and compliance
You retain rights in your business records and permit DukaanMatic to process them only to deliver the service and for the purposes described in the Privacy Policy. You are responsible for lawful collection, recipient permissions and the accuracy of customer, supplier, stock, invoice, tax and accounting records. Review calculations, returns and submissions before relying on them. Software assistance does not replace your accountant, tax adviser or applicable business obligations.

Local software, updates and support
Local software is free to start, with software updates and human support included for one year from the business’s first local activation. After that year, updates and human support are renewed together for ₹299 plus applicable GST per year. Renewal is optional: without it, your installed local software, existing local records and local backup download and restore continue to work, but you are not entitled to new software updates or human support. The included year is available once per business. Reinstalling, changing a device or creating another account for the same business does not restart it. We check GSTIN and matching business and verified contact details; existing businesses must sign in to or recover their original account. Early renewal preserves remaining time; renewal after expiry starts a new year from confirmed payment, with no automatic renewal or charge for the gap. A local renewal does not purchase cloud access or transfer ownership of the software.

Local storage and device responsibility
Your business is responsible for its computers, device security and local records. Internet access or an account alone does not create a cloud copy of local business data. Only a successful enabled backup, sync or migration transfers the relevant records. Disk failure, malware, theft, device resets or clearing application data can cause permanent loss. DukaanMatic cannot reconstruct records when no usable copy exists.

Daily backups
For both local and cloud use, appoint an authorised person to save a current backup on each day of business use and before bulk changes, deletion, restoration, migration or device maintenance. Keep more than one dated copy in a protected location separate from the working device, restrict access and periodically check that restoration works. Downloaded JSON files are readable; protect them with suitable storage encryption. Cloud export fees, where applicable, are shown before confirmation.

Cloud access and recovery
Cloud access and Cloud Backup depend on the purchased service and its limits. Sync is not an independent historical backup, and automatic backup is not guaranteed while a device is closed, offline or signed out. Cloud Backup currently keeps the latest seven distinct snapshots; older snapshots are rotated out. Snapshots cover supported ERP records, not all uploaded files or server records, and exclude desktop changes not yet synchronised when made from cloud data. Recovery requires an intact, compatible copy and may not restore every recent change.

Backup downloads and charges
Local-plan backup downloads and restores are free. Cloud-plan backup downloads cost ₹2 per backup, including a Cloud-to-Local migration backup, confirmed before download and paid from the communication wallet. Backup uploads and Local-to-Cloud migration exports have no per-backup fee; Cloud storage and access require their separate paid service. Exporting the same retained snapshot again does not incur another export charge once it has been paid. Automatic backup uploads do not incur export fees. Keep your downloaded copies securely; neither a paid export nor a subscription guarantees indefinite retention or recovery.

Changing between Local and Cloud
Use the approved Data Storage migration workflow instead of treating a storage change as a simple switch. The authorised business administrator requests the change, source edits are paused, a final archive is imported and checked, and Platform Admin approves completion after the owner confirms the records. Cloud destinations require active cloud access. Cloud-to-Local completion must wait until all paid cloud periods and relevant add-ons end; renewal postpones eligibility. Migration does not create a refund or credit for unused cloud time, subject to mandatory law and express written commitments. Cloud expiry may make connected records read-only; it does not automatically convert the business to Local or delete its records.

Plans, support, payments and cancellation
Cloud and Cloud Plus are separate paid subscriptions from the start, subject only to any expressly offered trial. Their prices, service periods and limits are shown at checkout. Cloud access and software updates depend on an active cloud term; cloud human support follows its separate add-on terms. The local first-year offer and ₹299 plus GST updates-and-support renewal do not make cloud services free or renew cloud access. Optional Cloud Backup, messaging and other usage-based services remain separately charged. Learning Center and Community remain free. Cancellation does not itself delete data. Refunds and payment errors follow the Refund & cancellation policy and applicable statutory rights.

Messages, calls and integrations
Your business is responsible for recipient details, content, notices, consent, templates and configuration for SMS, WhatsApp, calls and connected services. Do not send spam or misleading or unlawful communications. Delivery and integration availability depend on networks, provider approvals, account status and third-party rules. Where recording or automated calling is enabled, give required notices and obtain the permissions applicable to your use.

Cloud confidentiality and staff changes
Authorised personnel may review relevant hosted information only for necessary support, security, troubleshooting and service quality under the Privacy Policy. DukaanMatic does not sell business records or authorise unrelated use. Staff need prior written instructions from an authorised business representative before manually editing or deleting operational records, except where legally required. Your users’ actions, configured workflows and agreed retention or backup cycles are governed by your service instructions.

Software ownership and acceptable use
DukaanMatic and its licensors retain ownership of the software, branding, interface and documentation. Your licence permits authorised internal business use. You must not resell, sublicense or reproduce protected software, remove ownership notices, bypass security or plan controls, access another business’s records, introduce malicious code or use the service for unlawful activity, except where applicable law expressly permits otherwise.

Availability, suspension and closure
Maintenance, device problems, network outages, security incidents and provider restrictions can interrupt service. We may restrict access for security risks, unlawful use, material breach or non-payment of the affected paid service. Expiry of local updates and support does not stop the installed local software; it ends access to new updates and human assistance until renewal. Export needed records and complete any required migration before closing an account. Closure and deletion remain subject to verification, the Privacy Policy and required retention.

Responsibility and governing law
Each party remains responsible for its own breach, negligence and unlawful conduct under applicable law. Recovery limitations do not remove responsibilities that cannot lawfully be excluded. No term excludes mandatory consumer rights or other statutory remedies. These terms are governed by the laws of India. Contact support first with service or billing disputes so they can be investigated.

Changes and contact
We may update these terms for product, security, provider or legal changes and will publish the revision date here. Material changes affecting an active paid service will be communicated with reasonable notice where practicable. Contact support@dukaanmatic.in for questions about these terms, storage responsibilities or your account.

Privacy policy

Last updated: 26 October 2026

This policy explains how DukaanMatic by SkoolMatic handles information across its website, business ERP, local installations, cloud services, communications and support.

Who this policy covers
This policy applies to business owners, authorised employees, website visitors and people who contact DukaanMatic. Businesses decide which customer, supplier and employee records to enter and who may use them. We process those records to provide the requested service and handle account, billing, security and support information to operate DukaanMatic.

Information we handle
Depending on the features you use, information includes account and business contact details, addresses, GSTIN and other business identifiers, customer and supplier details, products, stock, purchases, sales, invoices, returns, payments, balances, rewards and employee access records. We also handle support messages, uploaded files, payment references, device and sign-in information, diagnostics and communication delivery records needed for connected services.

How we use information
We use information to run billing, inventory, accounting and business workflows; authenticate users; manage subscriptions; deliver requested messages and integrations; reconcile charges; protect accounts; diagnose problems; provide support; and meet applicable legal obligations. Provide only information necessary for your business purpose and ensure you have the required authority, notices and permissions. We retain activation dates, service periods and hashed business-identity matches, using GSTIN and combinations of business name, address, PIN code and verified contacts, to detect repeat registration and prevent restarting the included local year. We do not match on a business name alone or disclose another account’s contact details. If a match is incorrect, contact account recovery for review.

Local storage and your devices
In Local mode, operational records are stored on your device. The installed desktop application maintains a local database; browser storage also holds application data and preferences. Local storage is not automatically a cloud backup. Only records successfully sent through an enabled backup, sync, migration or other connected feature reach that service. Local mode may still send account, activation, payment, support or messaging information when you use those services. Clearing browser or application data, uninstalling, device loss or disk failure can remove local records.

Cloud storage, sync and backups
Cloud access and Cloud Backup are separate services. Cloud access stores and synchronises business records for authorised connected use; Cloud Backup stores recovery snapshots when enabled under an eligible plan or add-on. Automatic desktop backup requires the application to be open, online and signed in, with the service active and configured. Check successful backup completion rather than assuming an upload occurred. Cloud Backup currently retains the latest seven distinct snapshots per business, replacing older snapshots as new ones are saved.

Backup contents and recovery limits
ERP snapshots contain supported business records, not every server record or separately uploaded file. A backup created from the cloud workspace does not include desktop changes that have not synchronised. Cloud backup snapshots are encrypted at rest; downloaded local JSON backups are readable files and must be protected by you. Keep secure, separate daily copies and periodically verify restoration. A device-only record cannot be recovered by DukaanMatic without a usable backup or successfully transferred cloud copy; cloud backups also cannot guarantee recovery after every incident.

Limited access to cloud records
Authorised DukaanMatic personnel may access relevant cloud records and settings only as reasonably necessary for support, troubleshooting, security, service quality and improvement of the contracted service. Access must be limited to the task and personnel who need it, subject to confidentiality and applicable law. Aggregated or de-identified information should be used where it serves the purpose. This does not authorise unrelated marketing or unrestricted browsing of business records.

Permission before staff change records
Your business retains control of its operational records. DukaanMatic personnel will not manually edit or delete those records without prior written authorisation from an authorised business representative, except where legally required. A verified support request or registered business email must identify the requested changes. Your users’ actions, configured workflows and the retention or backup cycles described here remain part of your service instructions. Quality review alone does not authorise changes.

Sharing and connected services
We do not sell personal or business information or share business records for third-party advertising. Necessary information is processed by hosting, storage, payment, security, support, SMS, WhatsApp, calling or other integration providers to deliver selected features, subject to applicable confidentiality and data-protection requirements. Messages require recipient details and message content; enabled GST integrations require relevant business and transaction information. We may also disclose information with your authorisation or where required by law. Provider processing is limited to the service being used.

Website, demos and communications
Browser storage is used for preferences, sign-in and application state. When you request a demo or contact support, we use the business and contact details you submit to respond, arrange the session and follow up on that request. Enabled calling or meeting features may process audio, transcripts, recordings and session details as disclosed in the relevant feature. Businesses must provide any required recipient notices and permissions before sending communications or recording people.

Security and your responsibilities
We use access controls, encrypted transport and reasonable technical and organisational safeguards for hosted services. No storage system is risk-free. Restrict employee permissions, protect credentials and devices, use device encryption where available, and store exports separately with restricted access. Do not send passwords, OTPs or full payment credentials to support.

Retention and deletion
Hosted information is retained as needed to provide the service, maintain security, resolve disputes and meet applicable accounting or legal requirements. Backup rotation can remove older snapshots. Cancelling a subscription does not itself delete records, and account deletion does not erase copies on your devices, exported backups or recipients’ systems. Eligible hosted records can be requested for deletion under our Data deletion request policy; legally required records may be retained. Export records you need before requesting closure.

Choices, requests and contact
Contact support@dukaanmatic.in for access, correction, deletion, consent withdrawal where applicable, or a privacy complaint. We verify identity and authority before acting. Customers, suppliers and employees should normally contact the business that controls their records first; we can assist with service-held information as appropriate. Withdrawing permission for an optional feature may prevent that feature from working. We will handle requests under applicable law and explain any required retention or other limitations.

Policy updates
We publish the revision date on this page and may communicate material changes through the service or registered contact details. This policy concerns DukaanMatic’s business services; separate SkoolMatic education services have their own policies.
